1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the websites, SaaS products, and software development services provided by Support Your Customers ("SYC", "we", "us", or "our").

By using our services, you agree to these Terms. If you do not agree, do not use the services.

2. Company Offerings

SYC is a product and service technology company offering:

  • Off-the-shelf SaaS products (including Rubic AI and additional SaaS offerings)
  • Custom software services, including web apps, mobile apps, and AI automation
  • Related implementation, consulting, and support services

3. Orders, Proposals, and Statements of Work

Some services may be governed by a proposal, order form, statement of work (SOW), or subscription plan. In case of conflict, signed commercial documents control over this public Terms page for the scoped engagement.

4. Accounts and Access

You are responsible for:

  • Providing accurate account and billing information
  • Maintaining account credential confidentiality
  • All activity performed under your account
  • Promptly notifying us of unauthorized use or security incidents

5. Fees, Billing, and Taxes

  • Fees are charged according to your selected plan or signed agreement
  • Subscriptions are billed in advance unless agreed otherwise in writing
  • Late or failed payments may result in suspension of access or delivery delays
  • Applicable taxes, duties, or levies are your responsibility unless stated otherwise

6. SaaS License and Restrictions

Subject to payment and compliance with these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use our SaaS products for your internal business use.

You must not:

  • Resell, sublicense, or commercially exploit the SaaS without written permission
  • Reverse engineer, decompile, or attempt to extract source code except where law permits
  • Use the service for unlawful activity, abuse, spam, fraud, or infringement
  • Interfere with platform security, availability, or integrity

7. Customer Data and Compliance

You retain ownership of your business data and end-user data. You grant SYC the rights required to host, process, and transmit that data solely to provide contracted services.

You are responsible for obtaining necessary permissions and lawful bases for data you submit, and for your own compliance with applicable privacy and sector regulations.

8. Custom Development Services and IP

8.1 Client Deliverables

Unless otherwise agreed in writing, client-specific deliverables created under a paid SOW are assigned to the client upon full payment.

8.2 Pre-Existing and Reusable IP

SYC retains ownership of pre-existing know-how, frameworks, libraries, templates, and general-purpose components used to deliver services. We grant you the rights required to use delivered solutions as contracted.

9. Third-Party Services

Our services may integrate with third-party platforms (for example, hosting, payment, messaging, analytics, or cloud providers). Use of third-party services is subject to their terms and policies.

10. Confidentiality

Each party agrees to protect the other party's confidential information using reasonable care and to use it only for fulfilling contractual obligations.

11. Availability and Support

We aim to maintain reliable service and timely support; however, uptime or response commitments apply only if explicitly defined in your signed service agreement or plan terms.

12. Warranties Disclaimer

Except where expressly stated in a signed agreement, services are provided on an "as available" basis. We do not guarantee uninterrupted operation, error-free results, or fitness for a particular purpose.

13. Limitation of Liability

To the maximum extent permitted by law, SYC will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, goodwill, or business interruption.

SYC's aggregate liability for claims arising from these Terms will not exceed the fees paid by you to SYC during the 12 months before the event giving rise to the claim.

14. Indemnification

You agree to indemnify and hold SYC harmless from claims, losses, damages, liabilities, and expenses arising from your misuse of the services, violation of these Terms, or infringement of third-party rights.

15. Suspension and Termination

We may suspend or terminate access for material breach, security risk, non-payment, or unlawful activity. You may stop using services at any time, subject to contractual commitments and notice periods.

Sections that by nature should survive termination (for example payment obligations, confidentiality, liability limitations, and dispute provisions) remain effective.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of Pakistan. Unless otherwise agreed in writing, disputes will be subject to the competent courts of Islamabad, Pakistan.

17. Updates to Terms

We may update these Terms periodically. Updated Terms become effective when posted, with the revised "Last updated" date shown on this page.
